Terms and Conditions

1. Acceptance of These Terms

By creating an account, accessing, or using the Daya AI mobile application, website, dashboards, communication tools, AI-enabled features, or related services (collectively, the "Platform"), you agree to be legally bound by these Terms and Conditions ("Terms").

If you do not agree to these Terms, you must not create an account or use the Platform. If you use the Platform on behalf of a child, dependent, or another person, you confirm that you have the legal authority to do so and accept these Terms on their behalf.

2. Definitions

"Company," "Daya AI," "we," "us," and "our" mean Daya AI, a LifeRight Company project.

"User," "Patient," "you," and "your" mean the person who creates an account or receives services through the Platform.

"Doctor" means an independent licensed medical practitioner who uses the Platform to communicate with Users or provide professional services.

"AI Agent" means the artificial intelligence and machine-learning functionality that may analyze information submitted through the Platform to produce risk signals, triage suggestions, alerts, summaries, or decision-support outputs.

"Health Data" means health, medical, pregnancy, maternal, fetal, biometric, medication, laboratory, imaging, symptom, consultation, file, message, and related information submitted to or generated through the Platform.

3. Nature of the Platform

The Platform is a limited-purpose digital communication and health-information technology tool. It may support messaging, video or audio communication, file sharing, reminders, risk flagging, and AI-supported analysis.

The Company is not a healthcare provider, hospital, clinic, pharmacy, insurer, ambulance service, emergency dispatch service, or medical practice. The Company does not practice medicine, provide diagnoses, prescribe treatment, issue medical certificates, or guarantee any clinical outcome.

4. Independent Doctors; No Medical Relationship with Daya AI

Doctors are independent professionals and are not employees, agents, representatives, partners, or joint venturers of Daya AI.

Any doctor-patient relationship exists solely between you and the Doctor you choose or who is assigned to your care under applicable arrangements. No doctor-patient relationship is created between you and Daya AI.

Daya AI does not control, supervise, direct, endorse, warrant, or guarantee the professional judgment, diagnosis, treatment plan, prescription, documentation, availability, conduct, qualifications, or outcomes of any Doctor.

5. Not for Emergencies

The Platform must not be used as a substitute for emergency medical services. If you are experiencing a medical emergency, severe pain, bleeding, loss of consciousness, chest pain, stroke symptoms, severe allergic reaction, suicidal thoughts, seizure, severe pregnancy complication, decreased fetal movement, heavy vaginal bleeding, severe abdominal pain, or any life-threatening symptom, contact your local emergency number or go to the nearest emergency department immediately.

Daya AI is not liable for any harm, delay, deterioration, morbidity, mortality, or loss arising from your decision to use or wait for the Platform instead of seeking emergency or in-person care.

6. Telehealth Informed Consent

By using the Platform for remote consultation, you acknowledge and accept the inherent limits and risks of telehealth, including the absence of physical examination, limitations in remote assessment, incomplete or inaccurate information, device or connectivity failures, delayed responses, and security risks associated with electronic communication.

You understand that a Doctor may advise in-person evaluation, urgent care, laboratory tests, imaging, referral, or emergency services. You are responsible for following appropriate medical advice and seeking in-person care when recommended or when symptoms require it.

7. AI Agent Disclosure and Explicit Consent

Daya AI may include AI Agent functionality designed to analyze Health Data and identify patterns that may suggest a potential emergency, health deterioration, disease risk, pregnancy-related risk, maternal or fetal risk, medication concern, or other safety signal.

By selecting "I Agree," enabling AI features, uploading data, or continuing to use AI-enabled functions, you give explicit consent for Daya AI to collect, use, process, analyze, store, and transmit your Health Data through the AI Agent for risk prediction, alerts, summaries, decision support, quality assurance, safety monitoring, and service operation.

You authorize the AI Agent to generate alerts or outputs that may be shown to you, your Doctor, authorized care team members, and, where legally required or permitted, emergency or safety-related contacts or authorities.

AI outputs are informational and decision-support only. They are not medical diagnosis, medical advice, treatment instructions, prescriptions, emergency dispatch, or a substitute for a licensed Doctor. AI outputs may be inaccurate, incomplete, delayed, unavailable, or based on incomplete data. All clinical decisions remain with the Doctor and/or you as advised by qualified medical professionals.

8. User Responsibilities

You are solely responsible for providing accurate, complete, current, and truthful information, including symptoms, pregnancy status, gestational age, medications, allergies, diagnoses, test results, medical history, and any changes in your condition.

You are responsible for reviewing information before submitting it, protecting your login credentials, maintaining secure devices, attending scheduled consultations, following medical advice, and seeking emergency or in-person care when needed.

You must not impersonate any person, misuse the Platform, upload malicious files, harass Doctors or staff, reverse engineer the Platform, bypass security controls, or use the Platform for unlawful purposes.

9. Medical Content, Records, and User Submissions

You retain rights you may have in information you submit. You grant Daya AI a limited, worldwide, non-exclusive license to host, process, transmit, display, and use submitted content as necessary to operate the Platform, facilitate consultations, provide AI-supported functions where consented, comply with law, and protect safety and security.

Medical records, consultation notes, prescriptions, certificates, and professional advice are created or provided by the Doctor, not by Daya AI. You are responsible for independently confirming any prescription, dosage, allergy, interaction, warning, or treatment instruction with your Doctor or pharmacist.

10. Fees, Payments, and Third-Party Services

Certain services may require fees. Payments may be processed by third-party payment processors subject to their own terms and privacy practices. Daya AI is not responsible for third-party failures except to the extent required by law.

The Platform may contain links or integrations with external services, laboratories, pharmacies, wearable devices, communication providers, cloud providers, or payment processors. Daya AI does not control and is not responsible for third-party services.

11. Availability, Security, and Technical Limitations

Daya AI uses reasonable technical and organizational measures to operate and secure the Platform. However, we do not guarantee uninterrupted availability, error-free operation, immediate delivery of messages or alerts, complete security, or compatibility with every device or network.

You acknowledge that failures in internet access, mobile networks, devices, third-party services, software bugs, maintenance, cyber incidents, or force majeure events may affect Platform performance.

12. Disclaimers

To the maximum extent permitted by applicable law, the Platform and all content, features, AI outputs, alerts, and services are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise.

Daya AI disclaims all warranties of accuracy, reliability, timeliness, completeness, merchantability, fitness for a particular purpose, non-infringement, clinical effectiveness, medical outcome, and continuous availability.

13. Limitation of Liability

To the maximum extent permitted by law, Daya AI, LifeRight, their owners, officers, directors, employees, contractors, affiliates, licensors, and service providers shall not be liable for medical errors, misdiagnosis, delayed diagnosis, incorrect treatment, medication errors, allergic reactions, side effects, interactions, morbidity, mortality, deterioration, pregnancy complications, fetal outcomes, data-entry errors, user omissions, Doctor acts or omissions, AI output inaccuracies, failure of alerts, technical failures, unauthorized access beyond reasonable safeguards, or decisions made based on Platform information.

To the maximum extent permitted by law, Daya AI's total aggregate liability arising out of or related to the Platform shall not exceed the greater of: (a) the amount you paid directly to Daya AI for Platform access during the six (6) months before the event giving rise to the claim; or (b) USD 100.

Daya AI shall not be liable for indirect, incidental, consequential, special, exemplary, punitive, loss-of-profit, loss-of-data, or business-interruption damages.

14. Indemnification

You agree to defend, indemnify, and hold harmless Daya AI, LifeRight, and their owners, officers, directors, employees, contractors, affiliates, licensors, and service providers from claims, losses, liabilities, damages, fines, penalties, costs, and expenses arising from your misuse of the Platform, inaccurate information, violation of these Terms, violation of law, infringement of rights, or decisions made outside appropriate medical care.

15. Suspension and Termination

Daya AI may suspend or terminate your access, with or without notice where permitted by law, if we believe you violated these Terms, created risk, misused the Platform, failed verification, engaged in unlawful conduct, or threatened the safety, security, integrity, or availability of the Platform.

16. Governing Law, Arbitration, and Class Action Waiver

These Terms are governed by the laws of [Jurisdiction], without regard to conflict-of-law rules. Any dispute shall be resolved through confidential binding arbitration in [Jurisdiction], unless prohibited by applicable law.

To the maximum extent permitted by law, you and Daya AI waive the right to a jury trial and agree that disputes will be brought only in an individual capacity, not as a class, collective, representative, or consolidated action.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified through the Platform, email, or another reasonable method. Continued use after the effective date of the updated Terms constitutes acceptance.

19. In-App Acceptance Statement

By tapping "I Agree," I confirm that I have read, understood, and accepted these Terms and Conditions. I understand that Daya AI is not a healthcare provider, is not an emergency service, and that Doctors are independent practitioners. I explicitly consent to AI Agent processing of my Health Data for risk prediction, emergency alerts, and patient-safety support, subject to the Privacy Policy.
